Terms of Service

1. Acceptance of Terms

This document is a draft that will be reviewed by legal counsel before its final version. By creating an Observantia account, you agree to these terms of service in their entirety. If you create an account on behalf of an organization, you represent that you are authorized to bind that organization to these terms. These terms constitute a legally binding agreement between you (or your organization) and Elite Consultation, the company operating Observantia.

2. Account Terms

To access Observantia, you must create an account by providing accurate and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. One account is permitted per organization; creating multiple accounts to circumvent plan limits is prohibited. You must notify us immediately of any unauthorized access to your account. We are not liable for damages resulting from failure to meet this obligation.

3. Subscriptions and Billing

Observantia is offered on several plans, including a free plan and paid plans with automatic renewal. Amounts are in Canadian dollars and payments are processed via Stripe. Your subscription renews automatically at the end of each billing period unless cancelled before the renewal date. If we change our pricing, we will notify you by email at least 30 days before the new prices take effect. You may cancel your subscription at any time from your account settings.

4. Free Trial

We offer a 14-day free trial with full access to the features of the Essential plan. No credit card is required to start the trial. When the trial period expires, your account automatically reverts to the Free plan at no charge. We reserve the right to modify the terms of the free trial, including its duration and the features included, with reasonable notice.

5. Acceptable Use

You agree to use Observantia only for lawful purposes and in accordance with these terms. The following uses are strictly prohibited: attempting unauthorized access to other users' systems or data; reverse engineering or any attempt to extract the platform's source code; using automated tools to mass-extract data from the platform (scraping); using the platform for illegal or fraudulent purposes. Any violation of these rules may result in immediate suspension or termination of your account.

6. Intellectual Property

The Observantia platform, including its source code, interface, document templates, and content, is the exclusive property of Elite Consultation. All rights reserved. Under your subscription, we grant you a non-exclusive, non-transferable, revocable license to use the platform and generated documents for internal purposes within your organization. This license does not authorize you to modify, redistribute, resell, or use platform elements for external purposes. Your compliance data belongs to you and remains your property at all times.

7. Limitation of Liability

Observantia is a compliance management tool. It does not constitute legal advice and does not guarantee full compliance with Law 25 or any other regulation. Use of the platform is not a substitute for qualified legal counsel for complex decisions. The platform is provided as-is, to the best of our capabilities. In the event of a claim, our total liability to you is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim.

8. Termination

You may cancel your account at any time from your profile settings. Your access to paid features ends at the close of your current billing period. We may suspend or terminate your account for violations of these terms, with or without notice depending on the severity of the violation. After cancellation or termination, you have 30 days to export your data. After this period, your data will be deleted in accordance with our retention policy.

9. Governing Law

This agreement is governed by the laws of the Province of Quebec and the applicable federal laws of Canada. Any dispute will be subject to the exclusive jurisdiction of the courts of the district of Montreal. If any provision of these terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect.

10. Changes to These Terms

We may modify these terms of service from time to time. For significant changes, we will notify you by email at least 30 days before they take effect. The last updated date is always shown at the top of this page. Continued use of the platform after the new terms take effect constitutes acceptance of those terms. If you do not accept the changes, you may terminate your subscription before the effective date.
